STANDARD TERMS AND CONDITIONS OF BUSINESS

1. Who we are
Tim Routledge Design Limited (“TRD”, “we”, “us”) is a company registered in England & Wales, company number 17094485, with its registered office at 18 Church Grove, Hampton Wick, London, KT1 4AL.
Tim Routledge Design Limited is the successor business to Tim Routledge Lighting Design Limited (company number 06517091), which traded from 2008. Since 1 April 2026, all new work is contracted with Tim Routledge Design Limited. Work contracted with Tim Routledge Lighting Design Limited before that date remains with that company on the terms agreed at the time, unless we and the client agree in writing to transfer it to Tim Routledge Design Limited.
These terms apply to all work undertaken by us unless otherwise agreed in writing. In these terms, “the Client” means the person or organisation engaging us, and “the Services” means the work described in our quotation.
2. Quotations and confirmation
Unless stated otherwise, quotations are valid for 30 days. A quotation is accepted on receipt of the Client’s written (or emailed) instruction, or an authorised purchase order from the Client.
3. Fees, expenses and VAT
Fees are exclusive of VAT, which will be added at the prevailing rate. Unless included in the quotation, travel, accommodation, subsistence and other reasonable project expenses will be charged in addition.
4. Payment
Payment is due 30 days from the date of invoice, in pounds sterling by bank transfer, as cleared funds in the account named on the invoice. We may invoice monthly for Services completed to date, or in line with a payment schedule agreed with the Client.
Overdue invoices attract interest, calculated daily, at 4% above the Bank of England base rate. Administration time spent chasing overdue invoices, and any debt recovery costs, will also be charged. We reserve the right to suspend Services on any project while accounts are overdue.
5. Variations
If the Client requests changes to the Services, we will issue a revised quotation showing the effect on the fee. We are not obliged to carry out requested changes until the revised quotation is accepted. Once accepted, it replaces (or, where stated, adds to) any previous quotation.
6. Postponement and cancellation
Either party may postpone or terminate an agreement on 14 days’ written notice, or as otherwise agreed in writing. We will be entitled to payment for Services provided up to the date of termination. If a project is cancelled with less than 14 days’ notice, we will be entitled to the full agreed fee for the project.
7. Copyright and intellectual property
Copyright and all other intellectual property in the visual designs, concepts, drawings, visualisations, specifications, show files and documents prepared by Tim Routledge and by us (including those prepared by Tim Routledge Lighting Design Limited), and in the work executed from them, remain our property unless otherwise agreed in writing. Where it is agreed that rights will pass to the Client, they will do so only once final payment has been received in full as cleared funds.
8. Liability and insurance
We hold £5 million public liability insurance. Our liability is limited to ten times the fee for the project concerned, except for death or personal injury caused by our negligence, or anything else that cannot be limited by law. We are not liable for any indirect or consequential loss, however caused.
9. Credits and publicity
All credits for our work must be approved by us before publication in any medium, including websites, programmes, brochures, press releases and publicity material. We will supply biographies and photographs for the Client’s use on request. Unless agreed otherwise, we may show the work in our portfolio and on our website and social channels once it is in the public domain.
10. Confidentiality
We treat all confidential information supplied by the Client as confidential and will not disclose it except as needed to deliver the Services. We are happy to enter into a separate non-disclosure agreement where required.
11. Governing law
Any agreement between us and the Client is governed by the laws of England and Wales, is deemed to have been made in England, and both parties submit to the exclusive jurisdiction of the English courts.
